Terms of Service.
1. Acceptance of Terms
By accessing or using Diaspora Flows (the "Platform"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Platform. These Terms constitute a legally binding agreement between you and Diaspora Flows, Inc.
2. Who May Use the Platform
You must be at least 13 years of age to use Diaspora Flows. By using the Platform, you represent that you meet this requirement and that all information you provide is accurate and complete.
3. Accounts and Authentication
Diaspora Flows uses social sign-in exclusively (Google, Facebook, Apple, Instagram via Meta). You are responsible for maintaining the security of your connected social account. We are not responsible for any loss or damage arising from unauthorized access to your account.
4. Listener Terms
As a listener on Diaspora Flows, you agree to:
- Use the Platform for personal, non-commercial listening only
- Not reproduce, redistribute, or make recordings of streamed content
- Not use automated tools, bots, or scripts to stream content or inflate play counts
- Not circumvent any technical protection measures on the Platform
Free tier: Ad-supported listening is available at no charge with shuffle play and limited skips. Paid tiers: Subscriptions are billed monthly. You may cancel at any time; cancellation takes effect at the end of the current billing period with no refunds for partial periods.
5. Creator Terms
As a creator (artist) on Diaspora Flows, you agree to:
- Only upload content that you own or have full rights to distribute
- Not upload content that infringes any third-party intellectual property rights
- Not upload content that is defamatory, obscene, or violates applicable law
- Provide accurate metadata for all uploaded content
- Comply with all applicable music licensing and royalty obligations
Royalty model: You will receive 60% of the subscription revenue attributable to listeners who streamed your music, calculated using our user-centric royalty model as described in our platform documentation. Design Partners may earn up to 70% under the Design Partner program. Payouts are processed monthly for balances above the minimum threshold.
Content ownership: You retain full ownership of all content you upload to Diaspora Flows. By uploading content, you grant Diaspora Flows a non-exclusive, royalty-free license to stream, display, and distribute your content to users of the Platform.
6. Prohibited Conduct
You may not use the Platform to:
- Violate any applicable law or regulation
- Infringe the intellectual property rights of any third party
- Harass, threaten, or harm any other user or artist
- Distribute malware, spam, or any harmful code
- Artificially manipulate stream counts, royalty calculations, or discovery rankings
- Attempt to gain unauthorized access to any part of the Platform or its infrastructure
7. Termination
We reserve the right to suspend or terminate your account for violation of these Terms, with or without notice. You may close your account at any time. Upon termination, your access to the Platform ceases. Royalties earned and unpaid at the time of termination will be paid out within 60 days.
8. Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.
9. Limitation of Liability
To the maximum extent permitted by law, Diaspora Flows, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform, even if we have been advised of the possibility of such damages.
10. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
11. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email and by posting a notice on the Platform at least 14 days before changes take effect. Continued use after that date constitutes acceptance.
